Office Terms

Working version 2026-10-25.v2 – legal review pending

These terms apply when a brokerage (the "Office") uses Zolia for its office: its CRM, its AI team and the data of its people and clients in the space of the Office. A person who manages the Office accepts them in Zolia on behalf of the Office. If the Office has signed a separate contract with us, for example pilot terms with an order form, that contract takes precedence. The AI Notice, the Security Schedule and Schedule 1 (office plans, credits and prices) form part of these terms.

Section 8 (Liability) is shown separately and accepted separately.

01Who we are

Zolia is provided by Biturai L.L.C-FZ, a company licensed in the Meydan Free Zone, Dubai, licence no. 2312186.01, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates ("we", "us"). Contact at any time: through Help in the app or by e-mail to support@help.zolia.ai.

02What Zolia is

  1. 2.1 Zolia is software for brokerages: a CRM, market data, an AI team and related tools. Zolia is not a real estate broker and gives no legal, tax or financial advice. Decisions about clients, properties, prices and deals stay with the Office and its brokers. Zolia never brokers property and never takes a commission or a percentage of a price or a rent (section 7).
  2. 2.2 The Office is a business licensed by the competent authority to carry on real estate brokerage in the UAE and uses Zolia solely for the purposes of that licensed business, and not to satisfy personal, family or household needs. The Office does not permit any person to use the space of the Office for personal purposes. A broker's personal use of Zolia belongs in that broker's personal account under our Terms of Use.
  3. 2.3 The CRM of the Office is free, and the AI team is always on. Additional work of the AI is paid with credits. The free credits, the start phase, the credit packs and their prices are stated in Schedule 1 and shown in Zolia before the Office buys; they can change for the future, and purchases already paid keep their terms. Before an AI action starts, Zolia shows how many credits it uses; we tell the Office at least 30 days before an action uses more credits.
  4. 2.4 Credits pay for the features of Zolia; they do not give access to an AI model as such, and the Office does not pass on or resell access to AI to others. Credits are not money and have no cash value; they cannot be paid out, exchanged or transferred to another office or person. The Office can make credits available to each of its brokers for their work for the Office; these credits remain the Office's and end when the broker leaves the Office or the Office withdraws them. Credits of the Office and the personal credits of a broker are never moved into each other.
  5. 2.5 Our Data Processing Terms apply to the personal data that the Office enters in Zolia. Our Neutrality Pledge in section 7 is part of these terms.

03Duties of the Office

  1. 3.1 The Office gives access only to its own people, sets their roles and keeps its information correct.
  2. 3.2 The Office uses Zolia lawfully. Its duties as a brokerage stay its own, in particular towards its clients and the authorities, for example for advertising, client contact, identity checks, anti-money-laundering and e-invoicing.
  3. 3.3 Our AI features use AI models of other providers (currently Claude by Anthropic, through Amazon Web Services). The Office and its people must not use them to present AI as a person, to deceive or mislead, to send spam, to create false documents, to discriminate against anyone, or for any other purpose that the law forbids. These rules reflect the usage policy of our AI provider (for information only: www.anthropic.com/legal/aup). If that policy requires further rules for users, we add them to these terms under section 6. The Office makes sure that its people know these rules.
  4. 3.4 Applications of tenants or buyers are decided only by a person of the Office or the landlord, by the criteria set in advance; Zolia does not score or rank applicants with an AI model.
  5. 3.5 Payments, signatures, anti-money-laundering decisions and filings with authorities stay with authorised people of the Office. Zolia prepares them; it does not carry them out on its own.

04AI and responsibility

  1. 4.1 AI can make mistakes. Results of the AI ("AI Outputs"), such as drafts, summaries, checks, figures and actions, can be incomplete or wrong, also when an AI team member acts on its own at the autonomy level that the Office has set or in a process that the Office lets Zolia complete on its own ("Done by Zolia"). AI Outputs are drafts, except where the Office lets an AI team member act on its own (section 4.2). Before the Office or its people send, publish or rely on an AI Output, they must review it and, where necessary, correct it. Doing so without this review is use contrary to the method of use of Zolia.
  2. 4.2 The Office decides on the autonomy levels and on "Done by Zolia" for each process, and it can stop any AI team member, or all of them, at any time. A result that the Office approves, or that an AI team member produces at a level or in a process that the Office has set, is the act of the Office. Messages and actions that the AI team carries out in this way are carried out by the Office through an automated system operated on its behalf (Article 12(2)(b) of Federal Decree-Law No. 46 of 2021).
  3. 4.3 The Office is responsible for how it and its people use Zolia and its results, towards its clients, the authorities and third parties.
  4. 4.4 Liability for loss, including loss from unreviewed AI Outputs, is governed by section 8.
  5. 4.5 Where Zolia promises a result for a process under "Done by Zolia" and misses it, or a service of Zolia is otherwise defective, we will, at our choice, perform the affected service again correctly at no charge, or credit to the Office the credits shown for that process or used for the service. If the Office qualifies as a consumer under Federal Law No. 15 of 2020 or Federal Decree-Law No. 14 of 2023, the Office may instead choose among the remedies provided by those laws. This does not limit any other right of the Office under section 8 or under the law.
  6. 4.6 The first message that AI writes in each conversation with a client says that it was written with the help of AI and names the Office; for messages that an AI team member sends on its own, this note cannot be switched off. When a person of the Office sends an AI draft, the note stays unless that person confirms in Zolia that they have checked the text themselves; Zolia records who removed it.
  7. 4.7 Every step of the AI team is recorded in the case concerned and can be traced by the Office.

05Data and end of use

  1. 5.1 The data of the Office belongs to the Office. The Office can export it at any time.
  2. 5.2 The Office can stop using Zolia at any time. We can suspend or close the space of the Office only for a serious breach of these terms, misuse or a legal obligation, and for any other reason with 30 days' notice. Before the space is closed, the Office can export its data, unless the law forbids it.
  3. 5.3 When the Office stops using Zolia, we delete the data of the Office and its keys as set out in the Data Processing Terms and the Security Schedule.

06Changes

  1. 6.1 We tell the Office about changes to these terms in Zolia at least 30 days before they take effect. A person who manages the Office accepts the new version in Zolia.
  2. 6.2 If the Office does not agree, it can stop using Zolia; we refund unused prepaid amounts in proportion.
  3. 6.3 Changes to the Neutrality Pledge follow the 3-month notice in section 7.

07Neutrality Pledge

Zolia is software. Biturai L.L.C-FZ, the company behind Zolia, makes the following commitments to every person and every brokerage that uses Zolia:

  1. 7.1 We do not broker. We hold no real estate brokerage licence, we do not list, sell or let property, and we do not represent buyers, sellers, landlords or tenants.
  2. 7.2 No commission. We do not take a commission, or a share of a commission, on the sale or rental of property. If we charge for a service connected with a transaction, it is a fixed fee and never a share of the price or the rent.
  3. 7.3 Your clients stay yours. We do not pass your clients, leads or enquiries to other brokers, brokerages, developers or anyone else, unless you choose to send them (for example to your brokerage, your own CRM or a partner you select), and we never use them to compete with you. Our AI processes them only to provide Zolia to you, and we never sell them.
  4. 7.4 No paid rankings. No broker, brokerage, developer, bank or property appears higher in Zolia because someone paid us. If Zolia ever shows paid content, it is clearly marked as advertising and does not change any ranking or search result.
  5. 7.5 Equal treatment. What Zolia shows you about the market, properties and other brokers does not depend on which brokerage you work for or which software your brokerage uses.
  6. 7.6 Partners in the open. If a partner pays us for a service that you choose to use in Zolia (for example a mortgage calculator), we tell you before you use it. A payment never changes what Zolia shows you about brokers, brokerages or properties.

Changes. We can change this pledge only by announcing the change at least 3 months before it takes effect: in the app, by e-mail to account holders who gave us an e-mail address, and on zolia.ai. A change never applies to the past.

08Liability

  1. 8.1 Not in force – only after legal review. Agreed compensation. Pursuant to Article 340(1) of the Civil Transactions Law (Federal Decree-Law No. 25 of 2025), the parties pre-determine the compensation payable by us for all breaches of these terms as the loss actually sustained and proven by the Office, not exceeding in aggregate for all events in any 12-month period the greater of (a) the amounts paid by the Office to us for credits and other paid services in the 12 months preceding the event giving rise to the claim and (b) AED (still to be set). No loss is presumed.
  2. 8.2 Not in force – only after legal review. Limitation. Independently of section 8.1, our aggregate liability under or in connection with these terms does not exceed the amount stated in section 8.1. We are not liable for loss of profit, loss of deals or commissions, or any loss that is not the natural and direct consequence of the breach.
  3. 8.3 Exceptions. Nothing in these terms limits or excludes liability (a) for fraud, wilful misconduct or gross fault; (b) arising from a harmful act to the extent Article 257 of the Civil Transactions Law applies; (c) under Federal Law No. 15 of 2020 on Consumer Protection, its Executive Regulations or Federal Decree-Law No. 14 of 2023, to the extent that the Office qualifies as a consumer under those laws and the liability cannot lawfully be limited; or (d) that cannot otherwise be limited under applicable law.
  4. 8.4 Conduct of the Office. Loss resulting from the Office or its people sending, publishing or relying on an AI Output without the review required by section 4.1, or from a result produced at an autonomy level or in a process under "Done by Zolia" that the Office has set, is caused by the Office's own conduct for the purposes of Articles 253(2) and 340(3) of the Civil Transactions Law, unless Zolia did not work as set up or was otherwise defective.
  5. 8.5 Information about AI. Before the Office first uses AI features, we inform it of the characteristics and limitations of the AI features, the possible damage from relying on AI Outputs without review and the precautions to take, as set out in the AI Notice in Zolia, which forms part of these terms.
  6. 8.6 Data security. Our obligations regarding the security of data processed under these terms, including as processor under Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, form part of these terms and are described in the Security Schedule. The Security Schedule does not reduce any obligation we have under that law.
  7. 8.7 Survival. Sections 8.1 to 8.6 survive any termination, rescission or expiry of these terms and apply to any compensation payable as a result of it.
  8. 8.8 Prominence and negotiation. This section 8 is presented prominently and accepted separately. Where the Office and we sign an order form, the Office confirms that it was offered the opportunity to negotiate this section 8, including a higher amount under section 8.1 against a different price, and the order form records the outcome.

09Complaints

  1. 9.1 The Office can send a complaint at any time through Help in the app or by e-mail to support@help.zolia.ai, or by post to the address in section 1.
  2. 9.2 We confirm receipt at once with a reference number, show the status under Help in the app and answer within 5 working days; if we need longer, we say why and by when the Office will hear from us. A person handles the complaint on request.
  3. 9.3 This does not affect any right of the Office to turn to the competent authorities.

10Language, law and courts

  1. 10.1 These terms are made in English and Arabic. The English version is the authoritative version: if the two versions differ, the English version prevails, unless mandatory law requires otherwise. The Office confirms that it has had the opportunity to review both versions.
  2. 10.2 These terms are governed by the laws of the Emirate of Dubai and the federal laws of the UAE as applied in Dubai. The onshore courts of the Emirate of Dubai (excluding the courts of the Dubai International Financial Centre) have exclusive jurisdiction.
